Terms of Service

1. Who We Are

Keepsia is operated by Keepsia LLC, a New York limited liability company ("Keepsia," "we," "us," or "our").

2. Eligibility

You must be at least 13 years old to create a Keepsia account.

Parents or legal guardians may permit minors under 13 to participate under their supervision and responsibility.

By using the Service, you represent that:

• you can legally agree to these Terms;
• the information you provide is accurate;
• you are not prohibited from using the Service under applicable laws or sanctions.

3. Your Account

You are responsible for maintaining the security of your account and devices.

Keepsia accounts may use phone numbers as a primary identifier. You agree to provide and maintain accurate account information.

You are responsible for:

• all activity under your account;
• maintaining access to your devices and authentication methods;
• keeping your contact information current.

You may be able to change your phone number associated with your account. Account recovery is provided on a best-effort basis and may require verification through email, identity confirmation, or other information.

We may suspend or terminate accounts that violate these Terms or create risk for Keepsia or other users.

4. Photos, Moments, and Circles

Keepsia allows users to create and share content including:

• Photos (individual images or media),
• Moments (shared collections of memories),
• Circles (private groups),
• comments, captions, and related content.

Circles are intended to be private and invite-only unless explicitly shared otherwise through features such as Open Moments.

Users are responsible for:

• the content they upload,
• the permissions they grant others,
• and the people they invite into Circles or Moments.

Keepsia does not guarantee that content shared with others will remain private once viewed, downloaded, photographed, or otherwise copied by another person.

5. Open Moments

Open Moments allow users to create shareable events or collections that may accept contributions from people outside a private Circle.

Open Moments may:

• allow guest uploads without a full Keepsia account;
• be shared through links, QR codes, or other methods;
• close for new contributions after a selected expiration period.

After an Open Moment closes:

• viewing may remain available to Keepsia users;
• the creator may delete the Open Moment;
• contributors may not be able to remove submissions independently after closure.

Creators of Open Moments are responsible for managing participation and moderation settings.

Keepsia reserves the right to remove or disable any Open Moment at any time.

6. Your Content

You retain ownership of the content you upload to Keepsia.

By uploading or sharing content through the Service, you grant Keepsia a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, modify, resize, display, distribute, and transmit your content solely for the purpose of operating, improving, and providing the Service.

This includes:

• displaying content within Circles and Moments,
• generating thumbnails and previews,
• backing up content,
• and producing physical products such as Memory Books or prints that you request.

You represent that:

• you own the content you upload, or
• you have all rights and permissions necessary to share it through Keepsia.

You may not upload content that infringes another person's intellectual property or privacy rights.

7. AI Usage

Keepsia does not use your private photos, videos, or content to train artificial intelligence models.

We may use automated systems for:

• moderation,
• spam detection,
• fraud prevention,
• safety enforcement,
• performance monitoring,
• and content processing necessary to operate the Service.

8. Community Rules

You may not use Keepsia to upload, share, create, or distribute content that:

• violates laws or regulations;
• exploits or harms minors;
• contains nudity, pornography, or sexually explicit material;
• promotes violence or threats;
• harasses, abuses, or intimidates others;
• contains hate speech or discriminatory abuse;
• impersonates another person;
• contains malware, viruses, or harmful code;
• infringes copyrights or other rights;
• promotes scams, spam, or deceptive activity.

These rules apply to:

• private Circles,
• Moments,
• Open Moments,
• comments,
• captions,
• usernames,
• and all other activity on the Service.

9. Moderation and Enforcement

Keepsia may review, remove, restrict, disable, or delete any content or account at any time and for any reason.

Circle owners, moderators, and Moment creators may also moderate content within areas they manage.

Moderation decisions are fully discretionary.

Keepsia is not obligated to:

• provide warnings,
• provide explanations,
• restore removed content,
• or provide an appeal process.

Accounts or content associated with abuse, illegal activity, spam, exploitation, or safety risks may be immediately removed without refund.

10. Deleted Content and Account Deletion

You may delete content or your account through available account tools.

When content is deleted:

• it will generally stop appearing to users immediately;
• copies may temporarily remain in backups, caches, or technical systems for a limited time.

When deleting your account, you may be given options regarding whether your contributions remain visible in shared spaces.

Comments associated with deleted accounts may appear as "Deleted User."

Keepsia may preserve certain information where required for:

• legal compliance,
• security,
• fraud prevention,
• abuse investigations,
• or legitimate business operations.

11. Storage and Availability

Keepsia is intended to help preserve memories, but it is not a guaranteed archival or backup service.

You are responsible for maintaining your own copies of important content.

While we strive to preserve uploaded media, Keepsia does not guarantee:

• permanent storage,
• uninterrupted availability,
• or protection against loss, corruption, or deletion.

The Service may:

• change,
• become unavailable,
• experience outages,
• or remove features over time.

We may archive or remove inactive accounts, Circles, or content after extended inactivity, including after notice where appropriate.

12. Paid Features and Subscriptions

Keepsia may offer paid services including:

• Keepsia+ subscriptions,
• Open Moments purchases,
• Memory Books,
• prints,
• and other premium features.

Subscriptions may:

• renew automatically,
• bill annually,
• and be managed through Apple App Store or Google Play.

You are responsible for managing your subscription settings through the applicable platform.

If a subscription expires or payment fails:

• premium upload limits or features may be restricted;
• existing content may remain accessible.

Unless required by law:

• digital purchases are non-refundable;
• physical products are refundable or replaceable only for defects, damage, or fulfillment errors.

Applicable taxes may be charged where required.

13. Memory Books and Printed Products

Keepsia may allow users to purchase physical products created from uploaded content.

Printed products may be fulfilled through third-party providers.

Keepsia is not responsible for:

• shipping delays,
• carrier issues,
• address errors,
• color variation,
• print quality differences inherent to printing processes,
• or delays caused by third-party providers.

By ordering physical products, you confirm that you have the rights necessary to reproduce the included content.

14. Intellectual Property

The Keepsia Service, branding, logos, software, interfaces, and related materials are owned by Keepsia or its licensors and are protected by intellectual property laws.

These Terms do not grant you ownership of Keepsia's software or branding.

You may not:

• copy,
• reverse engineer,
• scrape,
• distribute,
• or commercially exploit the Service except as permitted by law or with written permission.

15. Copyright Complaints

If you believe content on Keepsia infringes your copyright, please contact: copyright@keepsia.com

Include:

• identification of the copyrighted work;
• identification of the allegedly infringing material;
• your contact information;
• and a statement that you believe the use is unauthorized.

Keepsia may remove allegedly infringing material and may terminate repeat infringers.

16. Privacy

Your use of Keepsia is also governed by our Privacy Policy.

Keepsia is designed around private sharing rather than public social networking.

We do not:

• publicly expose user profiles,
• publicly expose phone numbers,
• sell user data,
• or operate third-party advertising networks based on your personal content.

Keepsia may use:

• analytics,
• crash reporting,
• diagnostics,
• moderation systems,
• and global CDN infrastructure to operate the Service efficiently.

Because Keepsia may use globally distributed infrastructure and content delivery networks, your content may be processed or stored in multiple countries.

17. International Use

You are responsible for complying with laws applicable to your location.

You may not use Keepsia if prohibited under United States export controls, sanctions, or other applicable laws.

18. Beta Features

Keepsia may release experimental or beta features.

Beta features may:

• change,
• malfunction,
• be removed,
• or become unavailable without notice.

They are provided "as is" without guarantees.

19. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEEPSIA DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SECURITY, AND AVAILABILITY. WE DO NOT GUARANTEE THAT THE SERVICE WILL ALWAYS FUNCTION, CONTENT WILL NEVER BE LOST, OR THE SERVICE WILL ALWAYS BE SECURE OR ERROR-FREE.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEEPSIA AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, MEMORIES, PROFITS, BUSINESS, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID TO KEEPSIA IN THE PREVIOUS 12 MONTHS.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

21. Arbitration and Class Action Waiver

Please read this section carefully.

You and Keepsia agree that most disputes will be resolved through binding individual arbitration rather than court proceedings.

You agree:

• not to participate in class actions,
• class arbitrations,
• or representative lawsuits against Keepsia.

Arbitration shall be governed by the laws of the State of New York and conducted in New York, unless otherwise required by law.

You may still bring qualifying claims in small claims court.

22. Termination

You may stop using Keepsia at any time.

Keepsia may suspend or terminate your access at any time, with or without notice, including for violations of these Terms or safety concerns.

Sections that reasonably should survive termination will continue to apply, including:

• ownership provisions,
• disclaimers,
• liability limitations,
• arbitration,
• and intellectual property protections.

23. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may provide notice through:

• the Service,
• email,
• or other reasonable methods.

Continued use of Keepsia after updated Terms become effective means you accept the revised Terms.

24. Governing Law

These Terms are governed by the laws of the State of New York, excluding conflict of law principles.
